Course content
1. Essential terms and principles, sources of commercial law 2. Commercial companies - partnerships and corporations, formation and establishment, status of partners 3. Limited liability company 4. Joint stock company - shares, shareholder rights, articles of association 5. Company bodies and corporate governance, rights and obligations of board members 6. Concern 7. Mergers 8. Contract law - generalprinciples and entering into agreements 9. Purchase, work, credit, and insurance contracts 10. Insolvency law 11. International commercial law - international commercial contracts and dispute resolution

Learning activities and teaching methods

Learning outcomes
The aim of the course is to introduce students to the basics of commercial law with an emphasis on practical applicability in banking and corporate practice.
Students who successfully complete this course will be able to: - Explain the basic concepts and principles of commercial law, including the sources of commercial law. - Distinguish between types of commercial companies (partnerships and corporations), describe the process of their creation and establishment. - Explain the legal aspects of limited liability companies and joint stock companies, including the rights and obligations of partners/shareholders and the articles of association. - Identify company bodies and the principles of corporate governance, including the rights and obligations of board members. - Describe the legal regulation of conglomerates and transformations of commercial companies. - Explain the legal regulation of purchase agreements, contracts for work, credit agreements, and insurance agreements. - Characterize the basic institutions of insolvency law. - Understand the legal aspects of international commercial law, including international commercial contracts and dispute resolution. Students who successfully complete the course will be able to: - Apply legal norms to specific situations in a commercial environment. - Solve legal problems relating to commercial companies, contract law, and insolvency law. - Draft and analyze simple commercial contracts. Students who successfully complete the course will be able to: - Independently and critically analyze legal issues in a commercial environment. - Effectively communicate legal arguments and solutions. - Collaborate with legal experts and other professionals in the field of commercial law. - Make decisions based on legal analysis and risk assessment.

Oral examination, Home assignment evaluation, Student performance assessment, Presentation

Exam: oral. The condition for participation is min. the extent of attendance at seminars according to the FES decree and completion of the set continuous tasks (presentation, solution of model examples).
